Sai Vivek agrees to provide digital marketing services as outlined in the agreed-upon project scope and deliverables. Any changes or additions to the scope of services must be agreed upon in writing by both parties.
To ensure the successful execution of services, the client agrees to provide timely and accurate information, materials, and access to relevant systems required for the project. Any delays caused by the client may impact project timelines and deliverables.
The client agrees to the payment terms outlined in the project proposal or agreement. Invoices will be issued according to the agreed-upon schedule, and payment is due within the specified time frame. Failure to make timely payments may result in a delay or suspension of services.
All intellectual property rights, including copyrights, trademarks, and any proprietary materials developed or provided by Sai Vivek, will remain the property of Sai Vivek unless otherwise agreed upon in writing. The client is granted a license to use the deliverables solely for the purposes specified in the project scope.
Sai Vivek will treat all client information and materials provided as confidential and will not disclose or share them with third parties without the client's prior written consent, except as required by law. The client agrees to keep any confidential information shared by Sai Vivek confidential as well.
Either party may terminate the agreement in writing if there is a material breach of the terms and conditions by the other party. Upon termination, the client will be responsible for any outstanding fees owed up to the termination date.
Sai Vivek will exercise reasonable care and skill in delivering services; however, we cannot guarantee specific results or outcomes. Sai Vivek will not be liable for any indirect, consequential, or incidental damages arising out of or related to the services provided.
These conditions of services shall be governed by and construed in accordance with the laws of the Indian government. Any disputes arising from these conditions shall be subject to the exclusive jurisdiction of the courts in the Indian government.
